These Terms govern your participation in the CoopINCOME platform as a selfemployed CUI Ambassador. They explain your rights and duties, how Contributions and Commissions work, required standards of conduct, and the protections we reserve. By registering, making or accepting a Contribution, or otherwise participating, you agree to be bound by every provision, including all Appendices.

  • 7. Cooperate with Audits/Discipline — See Sections 1617.
  • 8. Review Legal Protections & FinePrint — Sections 1824 & Appendix E.

1 Introduction & Purpose

CoopINCOME (“Coop,” “we,” “us”) operates a Cooperative Universal Income Replacement platform enabling selfemployed individuals to earn Predictable Ongoing Passive Income (“POP Income”). These Terms & Conditions and Partner Rules of Conduct (“Rules”) establish:

  • The legal framework of your engagement as a CUI Ambassador
  • How Contributions, Commissions, and Payouts operate
  • Ethical, marketing, and operational standards you must follow
  • Protections for CoopINCOME’s reputation, intellectual property, and membership

All CUI Ambassadors must read, understand, and comply with these Rules in full.

2 Definitions

CUI (Cooperative Universal Income): The peertopeer model that generates Predictable Ongoing Passive Income (“POP Income”) on the CoopINCOME platform.

  • CUI Ambassador: A selfemployed Platform Worker who has completed the Activation Steps (Section 5) and is eligible to earn Commissions and Payouts.
  • CUI Agent: An independent contractor engaged by CoopINCOME to perform specific tasks under a separate agreement.
  • CUI Member: Any individual or entity registered on the platform—Ambassador, Contributor, Agent, or other—who has agreed to these Rules.
  • Tier: The fixed Contribution package (e.g., C6, C22). Level: A relative position in the six-level payout genealogy.
  • Perks Points: The internal reward points displayed in your Ambassador dashboard; redeemable dollarfordollar (1 Perks Point = USD 1) toward Contributions or cashout options.
  • Contribution: A nonrefundable payment at a tier listed in Appendix D.
  • CUI Ambassador Obligations: The duties and standards of conduct set out in Section 5.
  • Monthly Impact Checkpoint (MIC): A 15minute online compliance check each calendar month that confirms active referrals and updates network data.
  • Confidential Information: All nonpublic business, technical, or financial data belonging to CoopINCOME or its Members.
  • Authorized Materials: Logos, marketing copy, and training assets identified in Appendix A.

3 CUI Ambassador Relationship & SelfEmployment Status

  • 3.0 Title Only “CUI Ambassador” is a marketing designation only; it does not create a partnership, franchise, agency, or employment relationship.
  • 3.1 Independent Contractor Each Ambassador is an independent contractor and is responsible for taxes, insurance, and compliance with law.
  • 3.2 SelfEmployment Recognition CoopINCOME will issue appropriate tax forms (e.g., 1099, T4A) where legally required.
  • 3.3 No Pyramid or MLM The compensation plan complies with peertopeer income regulations and is not an illegal pyramid or multilevel marketing scheme.

4 Intellectual Property & Branding

  • 4.1 Ownership All platform software, text, graphics, trade dress, and other intellectual property (“IP”) are owned or licensed by CoopINCOME.
  • 4.2 License Grant Ambassadors receive a nonexclusive, nontransferable, revocable license to use Authorized Materials solely for Ambassador Obligations and in accordance with Appendix A.
  • 4.3 Prohibited Uses No sublicensing, resale, distribution, or alteration of IP without prior written approval.
  • 4.4 Quality Control All cobranded or derivative materials must be submitted through the Marketing Approval Process (Appendix B).

5 Member Registration & Activation Steps

  • 5.1 Registration Requirements • You must have reached the age of majority in your jurisdiction (e.g. 18 years). • Provide accurate personal information (full legal name, email, phone). • Affirm acceptance of these Rules.
  • 5.2 Activation Steps (onetime, to be completed within 28 calendar days of registration) a. Initial Contribution — Pay the fee for your chosen tier (Appendix D). b. Invitations — Send referral invitations to three (3) separate, verifiable individuals; selfreferrals or fictitious entries are prohibited. c. Profile Completion — Complete all required profile fields (mailing address, date of birth, payment details).
  • Failure to complete all steps within 28 days results in automatic suspension; you must reregister and restart the 28day period.
  • 5.3 Active CUI Ambassador Status Upon successful activation you become an Active Ambassador, eligible for Commissions, Payouts, and platform resources.

6 Contributions & Fees

  • 6.1 NonRefundable All Contributions are final and nonrefundable except where mandatory law provides otherwise.
  • 6.2 Payment Methods Credit/debit card, ACH, cryptocurrency, or other CoopINCOMEapproved methods may be used.
  • 6.3 Taxes Ambassadors are solely responsible for all taxes arising from Contributions, Commissions, and Payouts.

7 Commissions & Payouts

  • 7.1 Daily Cash Flow Active Ambassadors earn Daily Payouts based on Contributions within their referral network (see Appendix D).
  • 7.2 Performance Bonus  A portion of each 28-day Contribution is allocated to a Performance Bonus (cash-back rebate) that is credited instantly; the amount varies and is not guaranteed.
  • 7.3 Payment Schedule Payouts are calculated daily and disbursed within 24 hours to the Ambassador’s designated payment method.
  • 7.4 Suspension of Payouts Noncompliance with Section 8 automatically suspends Commissions and Payouts until the issue is resolved.

8 Ongoing Compliance

  • 8.1 Monthly Impact Checkpoint (MIC) Each calendar month, Active Ambassadors must log in and complete a 15minute MIC that: • Confirms the number of active referrals; • Updates any network changes; • Reattests to compliance with marketing policies.
  • 8.2 Training Requirements Ambassadors must complete mandatory onboarding and quarterly compliance modules delivered via the Resource Center.
  • 8.3 RecordKeeping Ambassadors must maintain accurate transaction logs, MIC confirmations, and marketing activity records for no fewer than three (3) years.

9 Ethical Conduct & Reputation Protection

  • 9.1 Duty of Good Faith Act honestly, fairly, and in good faith at all times when representing CoopINCOME.
  • 9.2 No Defamation or Disparagement You must not publish, post, or transmit any false, misleading, derogatory, or defamatory statement about CoopINCOME, its officers, directors, employees, or other CUI Ambassadors.
  • 9.3 No Harassment or Hate Speech Harassment, intimidation, threats, or hate speech of any kind toward any person or group is strictly prohibited.
  • 9.4 Content Removal Upon written notice from CoopINCOME, you must remove or correct noncompliant content within 24 hours or face immediate suspension of Commissions and Payouts.

10 Conflict of Interest & NonPoaching

  • 10.1 NonSolicitation During your participation and for twentyfour (24) months after termination, you may not solicit any CUI Ambassador, employee, or consultant to join, market, or sell any competing product, service, or program.
  • 10.2 NonInterference You must not induce or encourage any CUI Member to breach these Rules, decline required MICs, or otherwise compromise CoopINCOME’s business.
  • 10.3 Prior Written Consent Any exception to this Section 10 requires CoopINCOME’s prior written approval.

11 Marketing & Advertising Compliance

  • 11.1 Approved Channels Only You may promote CoopINCOME only through channels, materials, and templates expressly authorized in Appendix A and Appendix B.
  • 11.2 EarningsClaim Disclaimers Every earnings statement (written, oral, or visual) must conspicuously display:
  • “Your earnings may vary and depend on individual effort and network growth.”

  • 11.3 No Spam Bulk unsolicited email, SMS, or socialmedia messaging is prohibited. Optout requests must be honored promptly.
  • 11.4 SeventyPercent Rule At least 70 % of all illustrative income examples in any presentation must be tied to bonafide customervolume (retail) activity, not recruitment revenue.

12 Responsibilities & Member Obligations

  • 12.1 RetailEstablishment Requirements If you promote CoopINCOME in a physical location you must: a. Display only official pointofsale materials supplied by CoopINCOME; b. Provide customers a written receipt that states your name, CoopINCOME’s business address, Contribution amount, and date of sale; c. Honor a 100 % satisfaction or 30day buyback guarantee on Contributed funds if required by local consumerprotection law.
  • 12.2 Compliance with Laws You must observe all applicable consumerprotection, advertising, antispam, antimoneylaundering (AML), exportcontrol, and securities laws in every jurisdiction where you market CoopINCOME.

13 Presentation of the Opportunity & Sponsorship Support

  • 13.1 Accurate Descriptions The CoopINCOME opportunity and compensation plan must be presented exactly as set out in official materials; no unapproved modifications or embellishments are permitted.
  • 13.2 Required Disclosures You must clearly and prominently display, in no smaller than 12point bold font, the following statement in every presentation, advertisement, or social post:
  • “Your earnings may vary and depend on individual effort and network growth. CoopINCOME does not guarantee any income.”

  • 13.3 EarningsClaim Protocol Any hypothetical, testimonial, or example must also include the line:
  • “This is not a guarantee. Individual results may vary.”

  • 13.4 Onboarding Support You must deliver official onboarding training to each newly Sponsored Member within 14 days and provide ongoing support via approved channels.

14 Preservation of Sponsorship Lineage

  • 14.1 Lineage Integrity You may not alter, obscure, or misrepresent Sponsor/Referral relationships in any CoopINCOME genealogy or reporting system.
  • 14.2 No Genealogy Tampering Backdating enrollments, replacing referral links, using “shadow” accounts, or otherwise manipulating genealogy data is strictly prohibited and grounds for immediate termination.
  • 14.3 Reporting Violations Suspected breaches must be reported to within 24 hours; CoopINCOME will complete its investigation within 10 business days.

15 Business Support Materials

  • 15.1 Approved Materials Only You may use only training, marketing, and sales materials listed in Appendix A or distributed through the official CoopINCOME Resource Center.
  • 15.2 Authorized Trainers All live or recorded trainings must be delivered by CoopINCOMEcertified trainers. Thirdparty coaching services require prior written approval from CoopINCOME.
  • 15.3 Credential Confidentiality Resource Center login credentials are personal to you. You must not share, sell, or otherwise transfer them and must promptly report any unauthorized access.

16 Contract Compliance & Modification

  • 16.1 Audit Rights CoopINCOME may audit your marketing logs, financial records, and compliance checklists on 48 hours’ notice. You must cooperate and provide requested documents or data.
  • 16.2 Suspension & Termination Failure to complete two consecutive MICs triggers automatic suspension; a third consecutive failure results in termination of your Ambassador status and forfeiture of unpaid Commissions.
  • 16.3 Formal Amendments Material amendments to these Rules require approval by at least 66 % of CoopINCOME’s Board of Directors and will take effect 30 days after written notice to all CUI Ambassadors via email and Platform announcement. Continued participation after the effective date constitutes acceptance.

17 Disciplinary Procedures

  • 17.1 Investigations Upon receipt of a credible complaint or detection of potential noncompliance, CoopINCOME will open a formal investigation. You must respond truthfully and supply requested information.
  • 17.2 Sanctions Violations may result in: • Written warning; • Temporary suspension of Commissions and Payouts; • Forfeiture of accrued Commissions; • Permanent termination of Ambassador status; • Legal action for damages or injunctive relief.
  • Severe breaches—such as genealogy tampering, willful defamation, or poaching—may lead to immediate termination without prior warning.

  • 17.3 Appeals You may appeal any adverse decision by submitting a written statement and supporting evidence within 14 calendar days of notice. CoopINCOME will render a final decision within 30 days; all sanctions remain in force during the appeal period.

18 Limitation of Liability & Disclaimers

  • 18.1 Disclaimer of Warranties The Platform, software, and all related content and services are provided “AS IS” and “AS AVAILABLE,” without warranty of any kind—express, implied, or statutory—including warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, or noninfringement. CoopINCOME does not warrant that the Platform will be uninterrupted or errorfree, or that defects will be corrected.
  • 18.2 Exclusion of Certain Damages To the fullest extent permitted by law, CoopINCOME—including its officers, directors, employees, and agents—shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or use, arising out of or related to these Rules or the Platform, even if CoopINCOME has been advised of the possibility of such damages.
  • 18.3 Force Majeure CoopINCOME shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, war, terrorism, civil unrest, embargoes, acts of civil or military authorities, fire, flood, earthquake, pandemic, strikes, or shortages of transportation, fuel, energy, labor, or materials. Performance is excused for the duration of such events plus a reasonable recovery period.
  • 18.4 Liability Cap. Except for liability that cannot be limited by law (including personal injury or death caused by CoopINCOME’s gross negligence or wilful misconduct), CoopINCOME’s aggregate liability for all claims arising out of or relating to these Rules shall not exceed the lesser of (a) USD 100 (one hundred U.S. dollars) or (b) the total value of Perks Points or Contributions you redeemed or paid during the twelve (12) months preceding the event giving rise to the claim.
  • 18.5 Exceptions to Exclusions Nothing in this Section 18 limits or excludes CoopINCOME’s liability for: • Personal injury or death caused by its gross negligence or intentional misconduct; • Fraud or fraudulent misrepresentation; or • Any liability that cannot be limited or excluded by applicable law.
  • 18.6 Survival Sections 18 (Limitation of Liability & Disclaimers), 19 (Indemnification), 20 (Governing Law & Dispute Resolution), 24 (Miscellaneous), and Appendix E survive termination or expiration of these Rules.
  • 18.7 Local Law CarveOut If any provision of this Section 18 is held unenforceable under the consumerprotection laws of your jurisdiction, that provision will be modified to the minimum extent necessary to comply with such laws, and all remaining provisions will remain in full force and effect.

19 Indemnification

You agree to indemnify, defend, and hold harmless CoopINCOME, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your breach of these Rules;
• Your defamation, disparagement, or poaching of CoopINCOME Members;
• Your violation of any law or regulation; or
• Your misuse of the Platform or CoopINCOME’s intellectual property.

Your indemnification obligation is not subject to the liability cap in Section 18.4.

20 Governing Law & Dispute Resolution

  • 20.1 Governing Law These Rules are governed by and will be construed in accordance with the laws of the Province of Ontario and the federal laws of Canada, without regard to conflictoflaw principles.
  • 20.2 Internal Resolution Before initiating formal proceedings, the parties must attempt in good faith to resolve any dispute for at least thirty (30) days after written notice.
  • 20.3 Mediation If unresolved, the dispute shall proceed to nonbinding mediation under the ADR Institute of Canada Mediation Rules. Costs are shared equally.
  • 20.4 Arbitration If mediation fails within sixty (60) days, the dispute shall be finally resolved by binding arbitration administered by the ADR Institute of Canada under its Arbitration Rules. The seat of arbitration will be Toronto, Ontario. The language of arbitration will be English. Judgment on the award may be entered in any court of competent jurisdiction.
  • 20.5 No Class Actions You waive any right to litigate or arbitrate any claim on a class, collective, or consolidated basis; all claims must be brought individually.

21 Amendments & Notices

  • 21.1 Unilateral Amendments  CoopINCOME may amend these Rules at any time, except that “material amendments” are governed by § 16.3 (Board‑approval requirement). Your continued use of the Platform after the effective date constitutes acceptance of the amended Rules.
  • 21.2 Material Changes Material amendments (those that adversely affect Ambassador rights or increase obligations) will be emailed to all Active Ambassadors at least thirty (30) days before they take effect.

  • “Approved as Submitted” — Material may be published without edits.
  • “Revise & Resubmit” — Compliance comments will be supplied; update and resubmit.
  • “Rejected” — Material violates policy and may not be used; a fresh submission is required.

    D2 Payout Allocation per Contribution

    • Allocation Bucket % of Contribution Purpose 100 % of every Contribution is allocated for the benefit of the Coop community: • 25 % goes straight to the inviting CUI Ambassador. • 50 % funds rewards across up to six CUI Ambassadors. • 25 % is reserved for Qualified Bonuses and the expenses of delivering those bonuses.
    • Example (Tier C110): A $ 100 Contribution allocates $ 25 to the inviter, $ 50 across six network levels, and $ 25 to the Bonus Pool. Payouts are instant upon new activations and renewals.

    D3 Network Pool Distribution (proprietary algorithm)

    • The 50 % Cooperative Network Pool releases daily across Levels 1 – 6 using a fixed percentage matrix coded in the smartcontract logic. • The matrix is the same for every Tier and cannot be altered by Ambassadors. Regulators or auditors may review the exact percentages under a confidentiality undertaking if required by law.

    D4 General Notes

    • 1. Programmatic Rounding Fractional cents are rounded to four decimal places and accumulate until they equal at least $ 0.01, then pay out in the next Daily Payout. 2. Reserve Oversight BonusReserve disbursements appear quarterly in the CoopINCOME Transparency Report. 3. Future Tiers If additional tiers are introduced, the same 25 % / 50 % / 25 % allocation applies unless Appendix D is formally amended.

23 Privacy & Data Protection

  • 23.1 Privacy Policy Your use of the Platform is governed by the CoopINCOME Privacy Policy, which is incorporated herein by reference.
  • 23.2 Applicable Laws Both you and CoopINCOME will comply with the EU GDPR, UK Data Protection Act 2018, Canada’s PIPEDA, California CCPA/CPRA, Brazil’s LGPD, Singapore PDPA, and all other dataprotection laws that apply.
  • 23.3 DataSubject Rights You agree to assist CoopINCOME in responding to any datasubject access, correction, erasure, portability, or objection requests within the time frames prescribed by law.
  • 23.4 Security Measures You must implement appropriate technical and organizational measures to safeguard personal data and Confidential Information that you process on CoopINCOME’s behalf. Any suspected data breach must be reported to within 24 hours of discovery.

24 Miscellaneous

  • 24.1 Assignment You may not assign, delegate, or otherwise transfer your rights or obligations under these Rules without CoopINCOME’s prior written consent; CoopINCOME may assign or novate these Rules in whole or in part without restriction.
  • 24.2 Severability If any provision of these Rules is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
  • 24.3 Entire Agreement These Rules—including the Appendices and any documents incorporated by reference—constitute the entire agreement between you and CoopINCOME and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral.
  • 24.4 Waiver No failure or delay by CoopINCOME in exercising any right or remedy will operate as a waiver unless expressly stated in writing.
  • 24.5 Electronic Communications Notices provided via the Platform dashboard or sent to your email address on file constitute written notice.
  • 24.6 ThirdParty Beneficiaries Except as expressly stated, nothing in these Rules confers any rights on any person or entity other than you and CoopINCOME.
  • 24.7 Headings Section headings are for convenience only and do not affect interpretation.
  • 24.8 Currency Unless otherwise stated, all monetary references are in United States dollars (USD).
  • 24.9 Counterparts & Electronic Signature These Rules may be executed in any number of counterparts—including electronic signatures and clickwrap acceptance—each of which is deemed an original and all of which together constitute one instrument.
  • 24.10 NonWaivable Consumer Rights Nothing in these Rules limits any nonwaivable rights you may have under mandatory consumerprotection statutes.

  • E.1 No Reliance; No Professional Advice All information provided by CoopINCOME is general information only and does not constitute legal, financial, tax, or other professional advice. You should obtain your own professional advice appropriate to your circumstances.
  • E.2 ForwardLooking Statements Any statements about future performance, earnings, or growth are forwardlooking and are not guarantees of actual results. Actual outcomes may differ materially.
  • E.3 External Links The Platform may contain links to thirdparty websites. CoopINCOME is not responsible for the content, accuracy, or opinions expressed on such sites. Accessing thirdparty sites is at your own risk.
  • E.4 No Partnership or Joint Venture Nothing in these Rules creates any partnership, jointventure, franchise, fiduciary, or employment relationship between you and CoopINCOME.
  • E.5 AntiCorruption & Export Controls You represent that you (a) are not located in, or a resident of, any country subject to comprehensive U.S., Canadian, or EU sanctions; (b) are not listed on any sanctions list; and (c) will comply with all applicable anticorruption, antimoneylaundering, and exportcontrol laws.
  • E.6 No Waiver A waiver of any right under these Rules must be in writing and signed by the waiving party.
  • E.7 Headings & Interpretation Headings are for convenience only. The singular includes the plural, and “including” means “including without limitation.”
  • E.8 Assignment Your rights or obligations may not be assigned without CoopINCOME’s written consent. CoopINCOME may assign its rights and obligations without restriction.
  • E.9 Severability If any provision is held invalid, the remaining provisions will remain in full force and effect.
  • E.10 Electronic Execution These Rules and any related documents may be executed electronically and in counterparts.
  • E.11 Local ConsumerProtection Rights These disclaimers, exclusions, and limitations apply to the maximum extent permitted by law and do not limit any nonwaivable consumerprotection rights.
